Terms of use
1. Agreement
This End‑User License Agreement (“Agreement”) is a legal contract between you (“you”, “your”) and NSTEL Sp. z o.o., a company registered in Poland at Plac Gen. Walerego Wróblewskiego 3A/5, 50‑413 Wrocław, Poland :contentReference[oaicite:1]{index=1} (hereinafter “NSTEL”, “we”, “us”). By installing, copying or otherwise using any Sferio-branded software embedded in physical devices (“Embedded Software”) or other software or hardware products listed on our site, you agree to be bound by this Agreement. If you do not agree, do not install or use the products.
2. Scope
This Agreement governs your use of:
- Embedded Sferio Software;
- Sferio IoT Products;
- Any documentation or firmware updates provided by NSTEL.
3. License Grant
Subject to your compliance with this Agreement, NSTEL grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Embedded Software only on the physical device it was provided with. You may create one backup copy solely for archival purposes. All rights not expressly granted are reserved.
4. Restrictions
You agree not to:
- Distribute, sublicense, rent, or lease the software;
- Modify, decompile, reverse engineer, or disassemble the software;
- Remove or alter any copyright or proprietary notices;
- Use the software in violation of applicable laws or for malicious activities (e.g., hacking, spreading malware);
- Share passwords or login credentials with unauthorized users;
- Export the software from Poland without complying with export control laws.
If you reside in the EU and require the software interface specifications for interoperability, you may request them in writing as permitted under EU Directive 2009/24/EC.
5. Updates
NSTEL may provide updates such as upgrades, patches or bug fixes (“Updates”). By installing the software or connecting the device to the Internet, you consent to automatic installation of Updates.
6. Warranty Disclaimer
THE PRODUCTS AND SOFTWARE ARE PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND. TO THE FULL EXTENT PERMITTED BY LAW, NSTEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. NSTEL DOES NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION, OR THAT SOFTWARE IS SECURE OR FREE OF VIRUSES.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSTEL AND ITS SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM USE OF THE PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL NSTEL’S LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT(S).
8. Export Compliance
You agree to comply with Polish and EU export control laws. You must not export the Products in violation of applicable laws or to denied persons/countries. Use of the Products for military, nuclear, biological, or chemical weapon development is strictly prohibited.
9. Intellectual Property
All intellectual property rights in the software and hardware remain the exclusive property of NSTEL and its licensors. You acknowledge that the software may contain trade secrets and confidential information, which you must protect.
10. Termination
This Agreement is effective until terminated. You may terminate it by ceasing use of the Product and deleting all copies. NSTEL may terminate this Agreement immediately if you breach any terms. Upon termination, you must stop using the software and destroy all copies.
11. Governing Law
This Agreement shall be governed by the laws of the Republic of Poland, without regard to conflict-of-law principles. Any disputes arising hereunder shall be resolved in Polish courts.
12. General
Severability: If any provision is invalid or unenforceable, the rest shall remain in effect.
No Waiver: Failure to enforce any provision does not waive future enforcement.
Entire Agreement: This document is the full agreement between you and NSTEL regarding the subject matter herein, superseding prior communications.
